Terms and Conditions

The terms that govern your use of Taive — the app, our websites, your order links, and everything around them. In plain language, with the important protections called out.

Effective 8 August 2026 · Last updated 16 October 2026 · Version 1.2

1. About these terms

These Terms and Conditions (“Terms”) govern your use of the Taive mobile application, the Taive websites, any public order or tracking pages we host for you, and all related services (together, the “Service”).

The Service is provided by Taive Limited, a company registered in Nigeria with registration number 9687626 (“Taive”, “we”, “us”, “our”).

By downloading, signing into, or using Taive, you agree to these Terms. If you do not agree, do not use the Service.

If you are using Taive on behalf of a business, you confirm you have authority to bind that business, and “you” means both you and that business.

Our Privacy Policy and any plan, pricing, or feature descriptions shown in the app form part of these Terms.

2. Definitions

The tenant record representing your fashion business in Taive.
Owner
The person who created the Brand account and holds full control of it.
Staff
Additional users the Owner invites to the Brand account.
Your Customers
The clients of your fashion business whose details you record in Taive.
Your Data
Everything you or your Staff put into Taive — customers, measurements, orders, photos, notes, inventory, payments, expenses, products, voice recordings and notebook scans.

The public web page we host for your brand (for example taive.shop/<handle>) where Your Customers can place orders or enquiries.
PSP
A payment service provider such as Paystack, Flutterwave, or Stripe.
Plan / Tier
Your subscription level — Solo, Studio, Team, or Scale, as described in the app.
Billing term
The period you pay for in advance — monthly, quarterly, biannual, or annual.

3. Eligibility

To use Taive you must:

  • be at least 18 years old;
  • have the legal capacity to enter a binding contract; and
  • not be barred from using the Service under the laws of your country.

Taive is built for fashion businesses — bespoke tailors, ready-to-wear houses, and businesses doing both. It is not intended for personal or household use.

4. Your account

4.1 Registration. You register with your email and a password, or with Google or Apple. Your phone number is a business-profile detail we use to identify your brand and reach your customers — it is not a sign-in method. You must give accurate information and keep it current.

4.2 Security. You are responsible for everything that happens under your account. Keep your device, SIM, and login credentials secure. Tell us immediately at [email protected] if you suspect unauthorised access.

4.3 One Owner. Each Brand account has exactly one Owner. The Owner holds ultimate responsibility for the account, its subscription, its Staff, and Your Data.

4.4 Country and currency. Your country is determined at sign-up and sets your pricing currency (Naira in Nigeria; US Dollars elsewhere). Do not misrepresent your location or use a VPN or other means to obtain pricing or features not available in your country — we may correct your currency, suspend, or close an account where we reasonably believe this has happened.

5. Staff accounts and permissions

5.1 Inviting Staff. On Team and Scale, the Owner may invite Staff up to the seat limit for the Plan. Each Staff member sets up their own login and must accept these Terms.

5.2 Owner responsibility. The Owner is responsible for the acts and omissions of their Staff on the Service, including anything Staff do with Your Customers’ data. Assign permissions carefully.

5.3 Removing Staff. Removing a Staff member revokes their login and unassigns them from orders. It does not delete the records they created, and their past actions remain in the audit log where your Plan includes one.

5.4 Disputes about control. If there is a dispute over who controls a Brand account, we may suspend the account until it is resolved, and we may rely on the Owner record as authoritative.

6. The Service

6.1 What Taive does. Taive helps you run your fashion business — capturing orders by voice or manually, storing customer profiles and measurements, scanning handwritten notebooks, tracking production, sending invoices and reminders through WhatsApp, tracking inventory and expenses, and taking orders through a public order link. Features available to you depend on your Plan and your business mode.

6.2 Business modes. You choose a mode — bespoke, ready-to-wear, or both — and may change it at any time. Mode is free and does not affect your Plan or price.

6.3 We may change the Service. We improve Taive continuously. We may add, change, or remove features. Where a change materially reduces a feature you are paying for, we will give you reasonable notice and, if you are on a longer billing term, a pro-rata refund or credit for the unused portion if you choose to cancel because of it.

6.4 Beta features. Features labelled beta, preview, or early access are provided as-is, may change or be withdrawn, and are excluded from any service commitments.

7. Free trial

7.1 New Brand accounts are eligible for one free trial of the Studio tier, for the length shown in the app (currently 14 days). No payment card is required to start a trial.

7.2 One trial per Brand account. We may refuse a trial where we reasonably believe an account has been created to obtain a further trial.

7.3 We may change trial length, trial tier, or eligibility at any time for accounts that have not yet started a trial.

7.4 When a trial ends. If you have not subscribed by the end of your trial (and any grace period we apply), your account moves to a read-only state — see clause 11.

8. Plans, limits, and feature gating

8.1 Plans. Taive is offered on Solo, Studio, Team, and Scale tiers. What each includes — usage limits and features — is shown in the app and may be updated from time to time.

8.2 Usage limits. Plans carry limits such as active orders, customers, catalogue products, staff seats, and photos per order. When you reach a limit we will block creation of new records of that type and prompt you to upgrade. We will never delete your records to fit a limit.

8.3 Server is authoritative. Your entitlements, limits, subscription state, and currency are determined by our servers. Where an offline device has allowed you to exceed a limit, the position reconciles when the device next connects.

8.4 Locked features. Features not included in your Plan may be visible with a lock and a sample preview. Sample data shown in previews is illustrative and is not your data.

9. Prices and payment

9.1 Prices. Prices are those displayed in the app at the time you subscribe or renew, in your account currency. We set a fixed price per currency — we do not convert at live exchange rates. Prices are inclusive or exclusive of tax as stated at checkout.

9.2 Billing terms. You may pay monthly, quarterly, biannually, or annually. Longer terms are discounted at the rates shown in the app. You pay in advance for the full term.

9.3 Price changes. We may change prices. Changes take effect at your next renewal, and we will give you between 14 and 30 days’ notice before a renewal at a higher price. If you do not accept the new price, cancel before that renewal.

9.4 Payment methods. You may pay by card, bank transfer, or USSD, where available in your country. Payments are processed by our PSPs. We store a payment token issued by the PSP — we never store your full card number.

9.5 Automatic renewal. If you save a card, your subscription renews automatically at the end of each billing term and we charge that card for the next term, at the then-current price, until you cancel. You can turn this off by cancelling at any time in Settings → Current plan.

9.6 Manual renewal. If you do not save a card, your subscription does not renew automatically. We will remind you before your term ends, and you must pay manually to continue.

9.7 Receipts. Every successful payment generates a receipt available in your billing history in the app.

9.8 Taxes. You are responsible for any taxes, duties, or levies on your use of the Service other than taxes on our income.

10. Upgrades, downgrades, and cancellation

10.1 Upgrades take effect immediately on successful payment. We will prorate or credit the unused part of your current term as shown at checkout.

10.2 Downgrades take effect at the end of your current paid term. If Your Data exceeds the lower tier’s limits at that point, existing records stay viewable and editable, but you will not be able to create new records of that type until you are back under the limit. Where a capability is lost on downgrade (for example additional branches or staff seats), the affected records become view-only. Nothing is deleted.

10.3 Cancellation. You may cancel at any time from Settings. Cancellation takes effect at the end of your current paid term, and you keep full access until then. After that, your account moves to a read-only state (clause 11).

10.4 No partial-term refunds. Except where clause 12 or the law requires otherwise, we do not refund the unused part of a term you have cancelled.

11. Failed payments, and the read-only state

11.1 We never hold your data hostage. The strictest thing that happens to an unpaid account is that it becomes read-only. Your Data is not deleted.

11.2 What read-only means. You and your Staff can still open the app and view everything — customers, measurements, orders, payments, photos, inventory. You cannot create or change anything: no new orders, no new customers, no status changes, no edits.

11.3 Failed automatic charge. If a renewal charge fails we will retry on a schedule, notify you, and let you pay manually. There is a grace period before read-only applies. We never lock an account on a first failed payment.

11.4 Reactivation is instant. Full access is restored immediately on successful payment.

11.5 Offline devices. A device that has been offline past the end of your entitlement will reconcile to read-only when it next connects.

12. Refunds

12.1 Payments are generally non-refundable, since you are paying in advance for access.

12.2 We will refund you where:

  • we have charged you in error or duplicated a charge;
  • the Service was materially unavailable for a prolonged period through our fault; or
  • a refund is required by consumer law in your country.

12.3 Discretionary refunds may be granted case by case. Requests should go to [email protected] within 14 days of the charge. Refunds are made to the original payment method.

12.4 Refunds are decided by our team, not by our AI support agent.

13. Collecting payments from Your Customers

This clause covers money flowing from Your Customers to you. It is entirely separate from what you pay Taive.

13.1 We are not a party to your sales. Every contract for garments, alterations, or delivery is between you and Your Customer. Taive is a tool that records and facilitates it. We are not the seller, we are not a party to that contract, and we are not responsible for the goods or services you supply.

13.2 Online collection. Where your Plan includes online payment collection, funds from Your Customers are processed by a PSP and settled to a payout account you have verified. We are not a bank, a payment institution, or a money transmitter, and we do not hold your funds. Settlement timing, fees, and reversals are governed by the PSP’s own terms, which you must accept separately.

13.3 KYC. You must complete any identity, business, or bank verification the PSP requires before you can receive online payments. We may withhold the feature until verification is complete.

13.4 Fees. Online collection may carry a per-transaction fee, shown to you before you enable it. This is separate from your subscription.

13.5 Chargebacks and refunds to Your Customers. Disputes, chargebacks, and refunds on payments from Your Customers are between you, Your Customer, and the PSP. You are responsible for the amounts involved.

13.6 The order link. If you enable an order link, you are responsible for the accuracy of what you publish on it — product descriptions, prices, availability, delivery terms, and any legally required information. You must honour orders placed through it or refund them promptly. We may disable an order link that breaches these Terms, the law, or a PSP’s rules.

13.7 Invoices and reminders. Invoices, receipts, and payment reminders generated in Taive are conveniences, not accounting or tax advice, and are not certified tax invoices unless you make them so. You are responsible for your own bookkeeping and tax compliance.

14. Data — who owns what

14.1 Your Data is yours. You own Your Data. We claim no ownership of it.

14.2 Our licence. You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process Your Data solely to provide, secure, support, and improve the Service for you, and as otherwise permitted in these Terms.

14.3 We do not sell your data. We do not sell Your Data, and we do not use Your Customers’ personal data for advertising.

14.4 Aggregated insights. We may produce and use aggregated, de-identified statistics from usage of the Service (for example, average time to create an order). These never identify you, your business, or Your Customers.

14.5 Backups. We take reasonable backups, but you remain responsible for keeping your own copies of anything critical. Where your Plan includes CSV export, use it.

15. Data protection

15.1 Roles. For personal data about you and your Staff, we are the controller and our Privacy Policy applies. For personal data about Your Customers, you are the controller and we are your processor, acting on your instructions.

15.2 Your obligations as controller. You must:

  • have a lawful basis for collecting and recording Your Customers’ personal data, including names, phone numbers, addresses, body measurements, and photographs;
  • give Your Customers appropriate notice about how their data is used, including that you use a third-party app to manage it;
  • obtain consent where required — in particular for photographs of Your Customers or their garments, and for marketing messages;
  • respond to Your Customers’ data-subject requests, with our reasonable assistance; and
  • comply with the Nigeria Data Protection Act and Regulation, and any other data protection law that applies to you.

15.3 Sensitive data. Body measurements can be sensitive. Handle them with care, restrict Staff access appropriately, and do not use Taive to store health data, financial account details of Your Customers, or government identity numbers.

15.4 Marketing and broadcasts. If your Plan includes bulk or broadcast messaging, you must only message people who have consented, must honour opt-outs, and must comply with WhatsApp’s policies and applicable anti-spam law. You are the sender; we are not.

15.5 Our commitments as processor. We will process Your Customers’ data only on your documented instructions, keep it confidential, apply appropriate technical and organisational security measures, engage sub-processors only under equivalent obligations, assist you with data-subject requests and breach notification so far as reasonable, and delete or return the data on termination in line with clause 21.

15.6 Sub-processors. We use third-party providers to run the Service, including cloud hosting, speech recognition, AI model providers, PSPs, and messaging platforms. A current list is available in our Privacy Policy.

15.7 International transfers. Your Data may be processed outside your country, including where our providers operate. We apply appropriate safeguards for such transfers.

16. Voice, images, and AI features

16.1 Voice. When you use voice-to-order, audio is captured and converted to text, on your device or by a cloud speech provider, and structured into records. You should tell people present that you are recording, and you must not record anyone without the consent required by law.

16.2 Notebook scan. Photographs of your notebooks and documents are processed to extract text and create records.

16.3 AI features. Taive uses AI models — including third-party models — to transcribe speech, read notebook scans, classify support messages, draft messages, and make suggestions.

16.4 AI output is a draft, not a decision. AI output can be wrong. You must review anything AI produces before you rely on it, send it to a customer, or cut fabric to it. Confirmation screens exist for exactly this reason. We are not liable for losses arising from AI output you did not check.

16.5 Estimates are estimates. Figures labelled “ estimated” — margins, material costs, delivery costs, profit and loss — are calculated from what you have entered and are indicative only. They are not accounting figures and must not be used as your books of account.

16.6 Training. We do not use Your Data to train third-party foundation models except where you have opted in. We may use it to improve our own product configuration, prompts, and knowledge base in de-identified form.

17. AI support agent

17.1 Support is delivered first by an AI agent, on WhatsApp and in the app. It can answer questions and take a small set of bounded actions on your account — for example resending an invoice or receipt, sending you a payment link, showing your plan and usage, or opening a receipt.

17.2 The AI agent does not decide refunds, comps, plan changes made on your behalf, bug fixes, or anything legal, safety, or data-privacy related. Those always go to a person.

17.3 You may ask to be escalated to a human at any time. Support responsiveness targets, where offered, are described in the app and apply to Scale accounts.

17.4 Support conversations are recorded and retained so we can help you and improve the Service.

18. WhatsApp and other third-party services

18.1 Taive works alongside WhatsApp, app stores, PSPs, and other third-party services. Your use of those services is governed by their own terms, and we are not responsible for them.

18.2 Most client messaging in Taive works by opening WhatsApp with a message prepared for you. You press send. You are the sender of every such message and are responsible for its content and for complying with WhatsApp’s policies.

18.3 If a third-party service changes, restricts, or withdraws access, features that depend on it may change or stop working. That is not a breach of these Terms, though clause 6.3 applies if the effect is material.

18.4 If you obtained Taive through the Apple App Store or Google Play, that store’s terms also apply, and the store is not responsible for the Service or for supporting it.

19. Acceptable use

You must not:

  • use Taive for anything unlawful, fraudulent, or deceptive;
  • upload malware, or attempt to breach, probe, or overload the Service;
  • reverse engineer, decompile, or attempt to extract our source code, except to the extent the law allows;
  • resell, sublicense, or provide the Service to third parties as your own, or share a single Brand account across separate businesses to avoid seat or tier limits;
  • scrape or bulk-extract data from the Service other than through the export features we provide;
  • upload content you have no right to use, or content that is obscene, hateful, harassing, or infringes anyone’s rights;
  • upload images of anyone without the consent required by law;
  • misuse the order link or public pages to spam or defraud; or
  • use Taive to send unsolicited marketing.

We may investigate suspected breaches and take proportionate action, including suspension.

20. Availability and offline use

20.1 We aim to keep Taive available and reliable, but we do not guarantee uninterrupted service. Maintenance, updates, network failures, and third-party outages happen.

20.2 Offline. Core actions work offline and sync when you reconnect. Where the same record is changed on two devices, the most recent change generally wins. Check important records after a period offline.

20.3 You need a compatible device, a supported app version, and network access for syncing. We may end support for old app versions and operating systems.

21. Suspension, termination, and deletion

21.1 You may stop at any time. Cancel your subscription in Settings, or delete your account entirely.

21.2 We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, if your use creates a security or legal risk, or on non-payment (subject to clause 11’s read-only process). Where practical we will warn you first and give you a chance to fix it.

21.3 Deletion. If you delete your account, we delete your sign-in identity straight away, so the account can no longer be accessed. Deleting your account also ends any subscription straight away: you will not be charged again, and, as with any cancellation (clause 10.4), we do not refund the unused part of the term. We then delete or irreversibly anonymise the rest of Your Data within 60 days. Until then it is hidden and not used, so that you have time to ask us for a copy of it. If you would rather it went sooner, email us after deleting your account and we will delete it straight away. In either case we may keep records we must keep for legal, tax, accounting, fraud-prevention, or dispute-resolution purposes. Backups are purged on our ordinary backup cycle.

21.4 Survival. Clauses on data ownership, intellectual property, disclaimers, liability, indemnity, governing law, and any others that by their nature should survive, survive termination.

22. Intellectual property

22.1 Taive, its software, design, branding, name, and logo are owned by us and our licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service while your subscription is active, for your own business.

22.2 You keep all rights in your own brand name, logo, and product imagery. You grant us a licence to display them where the Service requires it — on your invoices, your order link, tracking pages, and messages to Your Customers.

22.3 Feedback. If you send us ideas or suggestions, we may use them freely, without obligation or payment to you.

23. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free or uninterrupted, that voice transcription, notebook scanning, or AI suggestions will be accurate, that estimated figures will be correct, or that the Service will meet every legal or regulatory requirement of your business.

Taive is not an accounting, tax, or legal service. Nothing in it is professional advice.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.

24. Limitation of liability

24.1 To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business, or anticipated savings.

24.2 We are not liable for loss or corruption of Your Data beyond restoring the most recent backup we hold.

24.3 Our total aggregate liability arising out of or relating to these Terms or the Service, in any 12-month period, is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim and ₦50,000 / US$50.

24.4 We are not liable for: losses arising from AI output you did not review; the acts or omissions of Your Customers, your Staff, or third-party services; disputes between you and Your Customers; or losses arising while your account was in a read-only state through non-payment.

25. Indemnity

You will indemnify and hold us harmless against claims, losses, and reasonable costs arising from: your breach of these Terms; your goods, services, or dealings with Your Customers; Your Data and your handling of Your Customers’ personal data; content you publish on an order link or send through WhatsApp; and your use of online payment collection.

26. Changes to these Terms

We may update these Terms. For material changes we will give notice in the app, by WhatsApp, or by email at least 14 days before they take effect. Continuing to use Taive after that date means you accept the updated Terms. If you do not accept them, cancel before they take effect.

27. Governing law and disputes

27.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

27.2 Talk to us first. Most problems are resolved fastest through [email protected], and you agree to raise a dispute with us and allow 30 days for resolution before starting formal proceedings.

27.3 If we cannot resolve it, the courts of Lagos State, Nigeria have exclusive jurisdiction, without prejudice to any mandatory consumer rights you have to bring proceedings in your own country.

28. General

  • Entire agreement. These Terms, the Privacy Policy, and the in-app plan and pricing descriptions are the whole agreement between us on this subject.
  • Severability. If any part is unenforceable, the rest stands.
  • No waiver. Not enforcing something once does not waive our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • Notices. We will contact you by in-app message, WhatsApp, SMS, or email using the details on your account. Keep them current.
  • No third-party rights. No one other than you and us may enforce these Terms.
  • Language. These Terms are written in English. Any translation is for convenience; the English version governs.
